1. Acceptance of Terms

These Terms & Conditions ("Terms") govern your use of the website located at zentrikdatatech.com and all services provided by Zentrik Datatech ("Company", "we", "us", or "our"), based in India.

By accessing our website, submitting an inquiry, signing a project agreement, or engaging our services in any form, you ("Client", "Freelancer", or "User") confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Services

Zentrik Datatech provides the following services:

• Business Intelligence & Analytics consulting and development
• Cloud infrastructure setup, migration, and management
• Artificial Intelligence and Machine Learning solutions
• Data engineering, pipeline development, and warehousing
• IT outsourcing and staff augmentation
• Cybersecurity audits and compliance consulting
• Data entry and processing, outsourced via our freelancer network

The specific scope, deliverables, timelines, and pricing for each engagement are governed by a separate Statement of Work (SOW) or project agreement signed by both parties. These Terms apply to all such engagements.

3. Client Obligations

As a client of Zentrik Datatech, you agree to:

• Provide accurate, complete, and timely information required for project execution
• Grant necessary access to systems, data, and tools as agreed in the SOW
• Ensure that data shared with us does not violate any third-party rights or applicable laws
• Designate a point of contact for timely feedback and approvals during project execution
• Not reverse-engineer, reproduce, or resell any proprietary tools or methodologies developed by us

4. Payment Terms

Unless otherwise agreed in the SOW:

• All invoices are due within 15 days of the invoice date
• Projects typically require a 50% advance payment before work begins
• Remaining balance is due upon project delivery or as per milestone schedule
• Late payments may attract an interest charge of 1.5% per month
• All prices are in Indian Rupees (INR) unless stated otherwise; GST applicable as per Indian tax laws

We reserve the right to pause or suspend work on any project where payment obligations are not met as agreed.

5. Intellectual Property

Client-owned IP: All data, content, and materials provided by the client remain the sole property of the client.

Deliverable IP: Upon full payment, intellectual property rights in custom-developed deliverables (dashboards, pipelines, models, etc.) are transferred to the client as specified in the SOW.

Company IP: Any pre-existing tools, frameworks, methodologies, or proprietary software used by Zentrik Datatech remain our intellectual property. We may grant clients a non-exclusive licence to use such tools as part of the project deliverables.

6. Confidentiality

Both parties agree to maintain strict confidentiality regarding all non-public information shared during an engagement. Confidentiality obligations shall survive the termination of any agreement for a period of 3 years.

We do not sell, rent, or share client data with any third party except as required to deliver the agreed services, or as required by applicable law. All team members and freelancers working on your project are bound by NDA agreements.

7. Freelancer Terms

Individuals who register and work with Zentrik Datatech as freelancers agree to the following additional terms:

• All work must be completed accurately and on time as per project instructions
• Freelancers must sign an NDA before receiving any project data
• Project data must not be shared, copied, or used for any purpose beyond the assigned task
• Payment is made upon verified completion and quality check of assigned work
• Zentrik Datatech reserves the right to terminate a freelancer's engagement for quality failures, data misuse, or breach of NDA
• Freelancers are independent contractors, not employees, and are responsible for their own tax obligations

8. Limitation of Liability

To the maximum extent permitted by applicable law, Zentrik Datatech shall not be liable for:

• Any indirect, incidental, or consequential damages arising from use of our services
• Loss of data, revenue, or business opportunities beyond our reasonable control
• Outcomes dependent on third-party tools, platforms, or APIs

Our total liability in connection with any project shall not exceed the total fees paid by the client for that specific project in the 3 months preceding the claim.

9. Termination

Either party may terminate an engagement by providing 14 days' written notice. In the event of termination:

• The client shall pay for all work completed up to the termination date
• We shall deliver all completed work and relevant files to the client
• Advance payments for undelivered work are refundable on a pro-rata basis

We reserve the right to terminate immediately in cases of non-payment, fraudulent activity, or material breach of these Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Gurugram, Haryana.

We encourage all disputes to be resolved through good-faith discussion before pursuing legal action. For unresolved disputes, both parties agree to attempt mediation before litigation.
